Hearts Essay This case is about a company named Hearts ââ¬ËR Us. This company provides research and development for medical devices. According to the information provided the company is in its early stage and has no products in the market. They have developed a Heart Valve System that would be revolutionary in the market if is approved. Also thereââ¬â¢s another company called Bionic Body that is a biological medical device company, they have another product that would work well with this new Heart Valve System. Therefore both companies decided to fuse by agreement. The agreement is as follows: $3.5 million preferred stock shares of Series A from Heart Company are sold to Bionics with a par value of $1 each. This transaction was completed on November 30, 2011, according to the information provided. This transaction gave Bionic specific rights: 1. Board Rights, 2. Mandatory Conversion right, 3. Contingent Redemption Rights. Additional Protective Rights, 5. Right of first refusal and Co-Sale Rights. The $3.5 millions of shares would be convertible in common stock according to the agreement when the IPO reaches net proceeds of at least $50 millions. It is stated that if on year five of the agreement the FDA has not yet approve the product to be in the market; the shares could be redeemed at its par value. Hearts R Us is a company that reports on a year basis and itââ¬â¢s planning to make an IPO soon. There are a couple of issues surrounding this case. First is an early-stage company that doesnââ¬â¢t have the financial stability and this might create trouble for further transactions. The only product that might be coming to the market still depends on a series of trials and the approval of the FDA. Since the company is just starting; all of its accounting transactions have being recorded to comply with the covenants of its outstanding debt. Furthermore they are not required to comply with SEC and are currently not doing so. Also theirs an issue of how to be done to register the Series A shares that have being sold to Bionic. Preferred Stock: A security that has preferential rights compared to common stock. â⬠¢Participation Rights: contractual rights of security holders to receive dividends or returns from the security issuerââ¬â¢s profits, cash flows, or returns on investment. FASB has some guide lines of how companies should report or disclose information of their securities. 1.FASB: addresses disclosure of information about capital arrangement is in the FASB Codification 505-10-50-3. 2.Participation Right is contractual right of security holders to receive dividends or returns from security issuerââ¬â¢s profits, cash flows or returns on investments. â⬠¢FASB Codification 505. An entity shall explain, in summary form within its financial statements, the pertinent rights and privileges of the various securities outstanding. Examples of information that shall be disclosed are dividend and liquidation preferences, participation right, call prices and dates, conversion or exercise prices or rates and pertinent dates, sinking-fund requirements, unusual voting rights, and significant terms of contracts to issue additional shares. An entity shall disclose within its financial statements the number of shares issued upon conversion, exercise, or satisfaction of required conditions during at least the most recent annual fiscal period and any subsequent interim period presented.

Many poets write about death and appearances. In the poem Richard Cory by Edwin Arlington Robinson, the author tries to communicate several things. Robinsons poem is about a rich man that commits suicide, and the thoughts of the people in town that watch him in his everyday life. In Richard Cory, Robinson is communicating that outward appearances are not always what they seem, an that money does not always make a person happy à à à à à Through the poem, Robinson never hints to any relationships that Richard Cory may have had. There is no mention of lovers, family, or even friends in the poem. I believe that Robinson was trying to communicate that companionship is essential to almost all people. Richard Cory was hiding his need for relationships if he had the need. à à à à à Robinson may also have been trying to communicate that although money can make a person happy, they may grow tired of it over time. When you become very used to one thing over time, it may begin to matter less and less. People that are not as well off as others should not measure happiness by just dollars and cents. There is a much larger picture of personal happiness that should be addressed and maintained so that personal health and welfare are sustained. à à à à à I think Robinson wants the reader to think that when Richard Cory died, he was probably a very lonely and sad man. Bed Sheet Ghost
What do you think is scary? When people ask you what you think is scary, you will usually say your biggest fear, but I think ghosts are the scariest. Either that or flesh- eating zombies! When I think of ghosts, I think of the whole furniture moving on its own thing or your traditional bed sheet ghost. However, in early ghost stories the ghost never tried to hurt or scare the people but were said to have been asking for help like getting a proper burial or finish something that the ghost never got to do in TTS lifetime.Some of these ghost stories date back as far as 3,000 years! One story takes place around 2,000 years ago when a man named Homer wrote an Iliad. In the story a deceased warrior named Patrols visited his friend Achilles as a ghost. Patrols told Achilles that he wanted a proper burial of his body. He also informed Achilles that he would die in the final battle of Troy. And what do you know? Achilles actually did die in the final battle of Troy because he was stabbed in h is heel, his only sake spot.Another story takes place over 3,000 years ago in Athens Greece. In this story a man named Attendants rented a house even though he was told it was haunted. He woke up later that night to a rattling noise. He then saw the ghost of a man bound by chains. The ghost then pointed to the ground beneath him and disappeared. The next day Attendants dug up where the ghost pointed and found a skeleton. He then buried the skeleton in a graveyard, and the ghost was never seenIn 1848 in Heedlessly New York, there were two sisters who claimed they again. Were able to talk to spirits by rapping their knuckles. The noises they made could mean yes, no, or a certain letter. When the sisters were very old and nearing death, they confessed that they were faking it the entire time. Even though people knew it was fake, the idea of spiritualism still caught on and in 1853 the Spiritualism Church was created and had over two million followers in only two years. Nowadays most re ligions believe in life after death.They believe that after death your spirit or soul goes to Heaven if you were good or the Underworld if you lead a bad life. Sometimes a ghost takes over a human body. This is called possession and it can only be stopped if a priest comes in and performs an exorcism, which makes the evil ghost leave that person's body.
